Terms & Conditions

  • These Terms & Conditions ('Terms') govern the provision of web design, development, branding, and digital marketing services by Yalla ('Yalla,' 'we,' 'us,' or 'our') to any client ('you,' 'client') engaging our services across Dubai (UAE), Riyadh (Saudi Arabia), or London (United Kingdom). By signing a proposal, paying a deposit, or instructing us to begin work, you agree to these Terms.

Our Services

Yalla provides custom web design, responsive web design, eCommerce development, WordPress website design, UI/UX design, website redesign, WhatsApp Business integration, and branding/creative services. The exact scope, deliverables, and timeline for your project will be set out in a signed proposal or statement of work ('SOW'), which forms part of these Terms.

Project Timeline

We target an average launch timeline of six weeks from project kickoff, as outlined in your SOW. This timeline depends on the timely provision of content, feedback, and approvals from you. Delays caused by late content delivery, delayed approvals, or scope changes on your part will extend the delivery date accordingly and are not considered a breach of this commitment by Yalla.

Fees and Payment

Project pricing is confirmed in your proposal and typically ranges based on scope and complexity. Payment is generally structured in milestones (e.g. deposit to begin work, midpoint payment, final payment before launch), as detailed in your SOW. Deposits are non-refundable once work has commenced. Invoices are due within the period stated on the invoice; overdue payments may result in paused work until settled, and may accrue late fees as permitted by local law.

Client Responsibilities

You agree to provide necessary content, branding assets, access credentials, and timely feedback required for us to complete the project. Delays in providing these will impact your project timeline. You are responsible for the accuracy and legality of all content, images, and materials you supply to us.

Revisions

Your SOW specifies the number of design/development revision rounds included. Additional revisions beyond this scope may be billed separately at our standard rates, communicated to you before the work begins.

Intellectual Property and Ownership

All design concepts, code, and creative work remain the property of Yalla until full and final payment is received. Upon full payment, ownership of the final website design, custom code, and content created specifically for your project transfers to you. Yalla retains the right to display completed work in our portfolio and marketing materials unless you request otherwise in writing. Any third-party licensed assets (fonts, stock imagery, plugins, themes) remain subject to their original licence terms.

Third-Party Tools and Platforms

Where your project uses third-party platforms (Shopify, WooCommerce, WordPress, payment gateways, WhatsApp Business API, hosting providers), you are responsible for any ongoing subscription, licensing, or transaction fees charged by those platforms. Yalla is not liable for outages, policy changes, or pricing changes made by third-party providers.

Warranties and Support

We warrant that delivered work will substantially match the agreed SOW. We provide a post-launch support period as specified in your SOW to fix defects arising from our work. This does not cover issues caused by changes made by you or third parties after launch, or ongoing maintenance beyond the agreed support window, which can be arranged under a separate maintenance agreement.

Limitation of Liability

To the maximum extent permitted by law, Yalla's total liability for any claim arising from these Terms or your project is limited to the total fees paid by you for that project. Yalla is not liable for indirect, incidental, or consequential damages, including loss of profits, data, or business opportunities, except where such limitation is not permitted by applicable law.

Cancellation and Termination

Either party may terminate a project with written notice. If you cancel after work has begun, you remain responsible for payment of work completed to date, plus any non-refundable third-party costs incurred. Yalla may terminate a project if payment is not received within a reasonable period after the due date, or if you fail to provide necessary cooperation for an extended period.

Confidentiality

Both parties agree to keep confidential any non-public business, technical, or financial information shared during the course of the project, and not to disclose it to third parties without consent, except as required by law.

Governing Law and Disputes

These Terms are governed by the laws of the United Arab Emirates, without prejudice to any mandatory local consumer or data protection laws applicable in Saudi Arabia or the United Kingdom where the client is based. Both parties agree to first attempt to resolve any dispute through good-faith negotiation, and if unresolved, through arbitration or the competent courts of the relevant jurisdiction.

Changes to These Terms

We may update these Terms from time to time to reflect changes in our services or applicable law. The 'Last Updated' date above reflects the most recent revision. Continued use of our services after changes are posted constitutes acceptance of the updated Terms.
